You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at help@micronatic.com of any unauthorized use of your account.
5. Order Formation and Acceptance
An order is formed when: (a) you add a service to the cart, sign in, and complete payment; or (b) you approve a written quote issued by Micronatic. All orders are subject to acceptance by Micronatic, and we reserve the right to refuse or cancel any order for any lawful reason, including suspected fraud, violation of these Terms, or unavailability of resources.
6. Client Responsibilities and Prompt Content Delivery
Timely delivery of our services depends substantially on your cooperation. You agree to:
- Provide all required information, documents, content, images, logos, access credentials, and approvals promptly and in the formats requested by Micronatic.
- Respond to requests for feedback, approvals, or revisions within a reasonable time, and in no event later than seven (7) business days unless otherwise agreed in writing.

If you fail to provide required materials or approvals, delivery timelines shall be extended accordingly, and Micronatic shall not be liable for any delay or loss arising from such failure. Additional fees may apply for re-engagement after prolonged inactivity.
7. Fees, Payment Terms, and Taxes
All prices are quoted in United States Dollars (USD). Payment is processed securely by Stripe (credit/debit card), PayPal, or Payoneer. All transactions are protected with 256-bit SSL encryption and are PCI-DSS compliant. Full card numbers are never stored by Micronatic.
For one-time services, full payment is due before work commences unless otherwise agreed in writing. For monthly services (Meta Ads Management and Google Ads Management), fees are billed monthly in advance and are separate from advertising budgets, which are paid directly to the respective platforms. Monthly services are processed as recurring subscriptions via Stripe and will auto-renew until cancelled with at least thirty (30) days' written notice. You are responsible for any applicable sales, use, or similar taxes imposed by federal, state, or local authorities, excluding taxes based on Micronatic's net income.
Late payments may result in suspension or termination of services, and Micronatic reserves the right to recover reasonable costs of collection, including attorney's fees, to the extent permitted by law.
8. Delivery, Approval, and Revisions
Delivery occurs when the scope described in the applicable service card has been provided to the Client. The Client shall review all deliveries within a reasonable time and report any in-scope deficiencies in writing. Deliveries that are approved or placed into use by the Client are deemed accepted. Website projects include up to two (2) revision requests within the agreed delivery scope; additional revisions may incur fees.
9. Free Custom Domain (1 Year) — Terms
For the Professional Website ($599) and E-Commerce Store ($899) packages, Micronatic includes one (1) free custom domain registration for a period of one (1) year, up to a maximum value of $20 USD. The domain is registered in the Client's name and ownership. Renewal after the first year is the Client's responsibility at the then-current registrar rate. If the Client cancels within the first year, domain transfer remains at the Client's discretion subject to registrar policies. Premium or auction domains above the $20 threshold require Client approval and payment of the difference.
10. Advertising and Third-Party Platforms
Micronatic's advertising management services involve the use of third-party platforms including, but not limited to, Google, Meta (Facebook and Instagram), Stripe, PayPal, Payoneer, banks, domain registrars, and hosting providers. You acknowledge and agree that:

- Platform algorithms, policies, and features may change at any time without notice.
- Micronatic does not guarantee approval of any advertising account, ad campaign, or business listing.
- Advertising budgets and platform fees are separate from Micronatic's management fees and are non-refundable once paid to the platform.

Upon full payment, Micronatic assigns to you all rights, title, and interest in the final web code, design, and content assets specifically created and delivered under your project, excluding Micronatic's pre-existing tools, templates, frameworks, libraries, and third-party components, for which you receive a non-exclusive, perpetual license to the extent necessary to use the deliverables.

15. Disclaimer of Warranties
EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. MICRONATIC SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. MICRONATIC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CLIENT FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

18. Force Majeure
Neither party shall be liable for any delay or failure in performance caused by events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government orders, labor disputes, internet or utility outages, cyberattacks, or third-party platform failures.
19. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict-of-law principles. The parties agree to first attempt in good faith to resolve any dispute through informal negotiation. If the dispute is not resolved within thirty (30) days, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in New Mexico, unless mandatory consumer protection laws in the Client's state of residence provide otherwise. Nothing herein waives any non-waivable rights under applicable law.
20. Modifications to These Terms
Micronatic reserves the right to update or modify these Terms at any time without prior notice. The current version takes effect upon publication on this page, and the "Last Updated" date will be revised accordingly. Your continued use of the Site or services after any modification constitutes acceptance of the revised Terms.
21. Severability and Waiver
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any breach shall constitute a waiver of any subsequent breach.
22. Entire Agreement
These Terms, together with all policies referenced herein, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether oral or written.
